An investment business in Chatham is poised to make a £15.3 million take over of a US technology company.

Armour Group has made a 5p per-share offer for OneView Commerce, which has developed software allowing retailers to link data for its customers whether they are on mobile, desktop, phone or in a bricks and mortar store.

Should the deal for the Boston-based tech firm go ahead, Armour will continue to trade on the AIM section of the London Stock Exchange but under the name OneView Group Plc.

Armour executive chairman Bob Morton, 74, will step down once the acquisition is complete.

“We have looked at a great number of potential targets and the board believes that this acquisition provides a major opportunity for the shareholders in Armour to realise significant value through the further growth in OneView...” - Bob Morton, Armour Group

He said: “I am pleased to announce the acquisition of OneView which is an exciting growth company with an encouraging pipeline of opportunities.

“We have looked at a great number of potential targets and the board believes that this acquisition provides a major opportunity for the shareholders in Armour to realise significant value through the further growth in OneView.”

Armour Group became an investing company in the technology sector in 2014 after it sold its Home and Hong Kong consumer electronics divisions to AHE 100 Limited, a business created by former chief executive George Dexter specifically for the takeover.

Formerly based in Tunbridge Wells, the firm has since been looking for high-growth takeover opportunities, which it believes it has found with OneView, whose customers include Wickes and Travis Perkins.

It has also bases in Amsterdam, Munich, London and Paris, and has sold more than 8,000 licences to five blue-chip customers including German mobile phone provider E-Plus, Arizona-based tire and wheel retailer Discount Tire.

OneView Commerce chief executive Stuart Mitchell, who will remain in the post after the deal, said: “We are delighted to be joining AIM, as we see this as a great way to support our fast growth and global initiatives.

“Our omni-channel offering has provided us with such high quality customers as Travis Perkins and Discount Tire and our broad pipeline of retail opportunities shows continued increase.

“The need to bring the mobile experience into the store and to service the connected customer across all shopping channels becomes ever more important for retailers today. We look forward to announcing further progress and customer wins over the coming months.”
