Tunbridge Wells' AdEPT acquires Shift F7 Group in deal worth £7.9m

A telecommunications company has agreed a multi-million pound takeover of a specialist IT firm.

AdEPT, which is based on Mount Ephraim in Tunbridge Wells, has signed a deal to acquire the entire issued share capital of the Shift F7 Group.

It will acquire both firms within the group - Shift F7 and Greencorn Limited.

The companies specialise in providing IT services to the commercial sector.

Shift F7 has around 200 commercial mid-market customers.

The deal is for £5m less the net debt and tax liabilities of the group as of the end of July. A further £2.9m will be due based on performance levels over the coming 12 months.

Founded in 1995, Shift F7, which is based in Dorking, Surrey, focuses on London and the south east and the deal will further enhance AdEPT's grip on the local market.

Management at Shift F7 will remain in place, and the takeover builds on a pre-existing commercial relationship between the two companies for the last decade.

Ian Fishwick, chief executive of AdEPT, said: "Shift F7 is an excellent fit because it enhances our market position in IT, particularly in London.

"Shift F7 complements our acquisition of OurIT in February 2017 which is also focused on London and south east commercial customers."
